GENERAL TERMS OF SALE

The proposal of order is subject to the acceptance of the following sale terms; alteration of any of the following conditions must be confirmed in writing and shall not affect the validity of the others.
QUOTATIONS
The minimum value of an order is EUR 200,00 or an equal sum in other currencies, with a change rate based on the date of the order confirmation. The quotations are subject to our order confirmation at receipt of order. Verbal or phone agreements are not binding till written confirmation is received. Dimensions, weights, catalogues, pictures, instruction. manuals, etc. are not binding and can be modified by us without any notice. In the absence of any particular agreement, the prices are in Euro, ex factory, packing excluded. Cost of packing is calculated separately. No discount is applicable to the packing and transport charges.
DELIVERY TERMS
Delivery terms initiate from the moment we receive the copy of our order confirmation signed per acceptance by the customer. The delivery is subject to the observance of the payment terms on behalf of the buyer. Times of delivery are approximate and can be subject to strikes, breakdown of machinery, accidents, war, natural distasters and other circumstances beyond our control. We do not assume any responsibility for payment of expenses or penalties caused by delay in the delivery.
CONSIGNEMENTS
The goods are supplied " ex factory " ; therefore also in case of agreements for delivery to destination or with prepaid freight, the goods travel at buyer's own risk. Our responsibility terminates at the moment of consignment of goods to forwarding agent or carrier. On request, the goods can be insured at customer's charge.
TESTING AND ASSISTANCE
All our machines are tested in our company, before delivery, by our specialized technicians. In case we are requested by the buyer to carry out extra tests or instructions at the customer's workshop, these tests must be requested in phase of the order and in any case not less than a month before the foreseen delivery date. The costs of such interventions shall be based on the UCIMU charges. On request, we can offer the assistance of our technical service for the installation and for instructing the operators in the use of our machines. Also in this case the expenses for assistance are based on the official UCIMU charges.
WARRANTY
We guarantee the machines for 2 YEARS from the date of delivery. If during this period any defect of materials or construction is proved, the defective parts will be replaced or repaired free of charge, but only if the defect is declared immediately. We do not acknowledge damages due to overloads, improper use and wear and tear caused by climatic conditions. All transport charges; costs and custom taxes due to substitution of defective parts are at buyer's charge. Substitutions and repairs are conditioned by the execution of the payment by the buyer. Our responsibility terminates at the substitution of the parts which are with no doubt defective. In no case we accept responsibility for paid out salaries and wages, decrease in profit, loss of time or claims by third parties. Our guarantee does not include wear out parts, substitutions or repairs due to improper use, bad maintenance or inexperience. We will in no way be considered responsible for direct or indirect damages. For parts not of our own manufacture, included in the machine, for instance electric equipment, measuring equipment etc, we grant the same warranty given to us by the supplier.
RETURNS
Any return of goods must be authorized by us before head in writing. The goods must be perfectly packed and returned ex factory to our company. An amount equal to 10% of the value will be deducted from the agreed price, to cover charges sustained by us.
PAYMENTS
Without any different agreement, the usual methods of payment proposed to our buyers are:
- Irrevocable and confirmed letter of credit
- Advanced payment via bank transfer
- Credit card / Paypal
If any different agreement is in act, the buyer must pay the defined amounts at the given date without any reduction and is not authorized to keep or refuse – even partially – any amount because of disputes or other similar reasons.
PROPERTY
Until the buyer has met all his obligations, the machines and goods remain our property, according to the law.
DISPUTES
Every dispute regarding the application, execution, interpretation and violation of the contract between AZ and the buyer, is submitted to the Italian law. For any dispute, both parties accept the Court of Vicenza
